Rutgers & Posch advised Sitech Services and its shareholders on carve-out of the services business and the subsequent sale of the service business to the Ebert HERA Esser Group

Sitech Services is responsible for the maintenance and modernization of the chemical plants of industry park Chemelot, one of the largest chemical industry parks in the Netherlands, and also the owner of infrastructure assets at Chemelot. The maintenance and service business of Sitech Service, including the industrial fire and security services, have been carved-out and subsequently sold to Ebert HERA Esser Group.  Leading chemical companies located at Chemelot (OCI, AnQore, Arlanxeo, Borealis, Fibrant and DSM) have supported the restructuring, the transformation and the M&A transaction in their role as selling shareholder and customer, and continue to be the main customers of the newly established services company. The services business employees 850 highly skilled workers.

Rutgers & Posch advised on the carve-out and the sale of the services division to Ebert HERA Esser Group.  The dedicated multidisciplinary team consisted of Dirk Jan Rutgers, Matthijs van den Broek, Justus Fortuyn, Remmert Koster (Restructuring and M&A), Kees Westerman, Vasco Hoving (Restructuring and Finance), Tijmen Noordoven, Annemarth Hiebendaal, Ilaha Muhseni (Employment), Anouk Oosterom, Huib Schrama and Qury van Vliet (Commercial Contracting).
